Delegate provide services for drafting, signing, and managing contracts based on the Telegram platform.

Our service functions as is and as available, that is, as you see it now and as it is available to you. By accessing or using the Delegate bot, you agree to be bound by following conditions.

 

These User Terms of Service (the “User Terms”) govern your access and use of an application (the “Services”).

First things first

These Terms constitute a legally binding agreement between you and Delegate. If you do not agree to these Terms, you may not use the Application.

A few ground rules:

1.      You must be over the legal age 

By accessing or using the Delegate, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a contract. If you are using the Application on behalf of an organization, you represent and warrant that you have the authority to bind the organization to these Terms.

2.      Account verification

To access certain features and services, you may need to create an account and pass KYC procedure within SumSub. You agree to provide accurate and up-to-date information during the registration process and to promptly update any changes.

3.      While you are here,  you must follow the rules 

To help ensure a safe and efficient environment, all Users must comply with our User’s Acceptable Use Policy. Breaching provisions of the Policy can lead to blocking your account. If you see inappropriate behavior or content, please report it to your Primary Owner or employer.

Payment Terms

Service fees

The Delegate provides a platform for users to purchase different types of contracts. The following are the fees for each contract provided on pricing page

The Fees are listed in American Dollars. The User is responsible for paying all taxes associated with the Subscription Fee, including provincial, municipal, federal or foreign taxes, levies, duties, or similar governmental assessments of any nature, including value-added, goods and services, use or withholding taxes and others.

Payment Processing

You represent and warrant that any credit information that you supply to us for a purchase is truthful and complete and that charges incurred by you will be honored by your credit card company.

All payments must be made via the payment methods provided in the Telegram platform in Delegate bot. We do not accept any other forms of payment.

Payments made on the site are made through our payment gateway provider – Stripe. Information which you supply is not within our control and is subject to the operator's own privacy policy and terms and conditions.

Note that full payment must be received prior to the delivery of any contract. If payment fails or is incomplete, we may suspend or terminate your access to the premium features.

Refunds and Cancellations

All sales are considered final upon payment, and no refunds or exchanges will be granted.

We reserve the right to refuse or cancel your order at any time for certain reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order, or other reasons.

Changes to Pricing

We reserve the right to change the fees for any of the services at any time. We will provide you with advance notice of any change in fees.

Changes will not affect any contracts already purchased, and changes in price will only apply to contracts purchased after the date of the fee change.

Intellectual property

The Services and all rights therein are and shall remain our Company’s property.

All intellectual property rights in the Delegate, including but not limited to copyrights, trademarks, service marks, trade names, and logos, are owned by us or our licensors. You acknowledge and agree that you have no right or license to use any of these intellectual property rights except as expressly provided in these Terms.

Limitation of Liability

To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your access to or use of the Application.

We make no representations or warranties of any kind, express or implied, regarding the reliability, accuracy, availability, suitability, or completeness of the Application or the content therein.

Modification of Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Any changes to the Terms will be effective immediately upon posting the revised version on the Application. Your continued use of the Application following the posting of any changes constitutes your acceptance of such changes.

Termination

We reserve the right to suspend or terminate your account, refuse any current or future use of the Delegate, and take any other appropriate legal action if we suspect any unauthorized use or breach of security or User’s Applicable Policy.

Disputes

Any dispute or claim relating in any way to your use of any Delegate Service will be adjudicated in the court of Switzerland, and you consent to exclusive jurisdiction and venue in these courts. We each waive any right to a jury trial.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Switzerland. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Switzerland.

Entire Agreement

These Terms constitute the entire agreement between you and Delegate regarding the use of our services, superseding any prior agreements or understandings.

If we believe a violation of the policy is deliberate, repeated or presents a credible risk of harm to other users, our customers, the Services or any third parties, we may suspend or terminate your access.

This policy may change as Delegate grows and evolves, so please check back regularly for updates and changes. Capitalized terms used below but not defined in this policy have the meaning set forth in the Term of Use.

Do:

(a)      Use Delegate in compliance with applicable laws and regulations and these Terms.

(b)      Provide accurate, current, and complete information during the registration process  (KYC) and to update such information to keep it accurate, current, and complete.

(c)      Maintaining the confidentiality of your account information, including your username and password, and for all activities that occur under your account.

 

Do not:

(a) Violate any applicable laws, regulations, or third-party rights;

(b) Engage in any fraudulent, misleading, or deceptive

  activities;

(c) Interfere with the proper functioning of our platform

  or disrupt the experience of other users;

(d) Use our services to transmit any harmful or malicious

  content, including viruses or malware;

(e) Attempt to gain unauthorized access to our systems or

  networks.

(f) Use the Application for any unlawful, harmful, fraudulent, or malicious purposes, or to engage in any activity that could damage, disable, overburden, or impair the Application or interfere with any other party's use and enjoyment of the Application.

 

 

Interactions with Other Users

You are solely responsible for your interactions and agreements with other users. Delegate is not responsible for any disputes, losses, or damages arising from your interactions or agreements. We encourage you to exercise caution and use common sense when engaging with other users on our platform.

 

You are solely responsible for the content you create, upload, transmit, or display through the Application. You represent and warrant that you have all necessary rights, licenses, and permissions to use and share such content.
