Introduction
Welcome to Delegate.Note
Delegate.Note provides services for confirmation of existing or creation of new debt obligations (the “Delegate.Note” or the "Note"), transforming them into NFTs under ledger-based securities in the Blockchain and providing arbitration services.
Our service functions as is and as available, that is, as you see it now and as it is available to you. By accessing or using the Delegate.Note website the (“Delegate platform”), you agree to be bound by the following conditions.
These User Terms of Service (the “User Terms”) govern your access and use of an application (the “Services”).
First things first
These Terms constitute a legally binding agreement between you and Delegate.Note. If you do not agree to these Terms, you may not use the Application.
A few ground rules:
1. You must be over the legal age
By accessing or using the Delegate, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a contract. If you are using the Application on behalf of an organization, you represent and warrant that you have the authority to bind the organization to these Terms.
2. Account verification
To access certain features and services, you may need to create an account and pass KYC procedure within SumSub. You agree to provide accurate and up-to-date information during the registration process and to promptly update any changes.
3. While you are here, you must follow the rules
To help ensure a safe and efficient environment, all Users must comply with our User’s Acceptable Use Policy. Breaching provisions of the Policy can lead to blocking your account. If you see inappropriate behavior or content, please report it to your Primary Owner or employer.
Delegate.Note
On the Delegate platform, you can create a Delegate.Note document evidencing debt obligations. You then have the right to transfer (via sale, gift, etc.) this Note to another party, with all the rights associated with the debt obligation originally held by you being fully transferred to the new holder of the Delegate.Note.
NFTs
Once a Note is created, the parties establish a registration agreement on the Delegate platform, under which the debt document is registered on the securities ledger - Blockchain, in order to develop it as NFT.
You can mint any of your signed Note into an NFT representing the debt as a digital asset in the Blockchain.
Note transfer is free as NFT without any restrictions. That is, the last holder will be able to dispose of it and collect the debt from the debtor.
Delegate's platform and services meet all legal requirements for facilitating NFTs’ creation, conversion, and transfer.
Arbitration services
Delegate provides arbitration services to resolve disputes related to Delegate.Note. The arbitration proceedings will be conducted in accordance with Delegate's arbitration rules.
By using Delegate's platform to create, transfer or manage Delegate.Note, you agree that all disputes relating to such activities shall be resolved through Delegate arbitration.
Requirements
You must comply with all applicable laws and regulations related to creating, transferring and dealing in ledger-based securities, including securities, anti-money laundering and other requirements. Delegate provides no investment advice regarding ledger-based securities.
General provisions
Privacy
Please review our Privacy Policy, which also governs your use of Delegate Services, to understand our practices.
Intellectual property
The Services and all rights therein are and shall remain our Company’s property.
All intellectual property rights in the Delegate, including but not limited to copyrights, trademarks, service marks, trade names, and logos, are owned by us or our licensors. You acknowledge and agree that you have no right or license to use any of these intellectual property rights except as expressly provided in these Terms.
Limitation of Liability
To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your access to or use of the Application.
We make no representations or warranties of any kind, express or implied, regarding the reliability, accuracy, availability, suitability, or completeness of the Application or the content therein.
Modification of Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Any changes to the Terms will be effective immediately upon posting the revised version on the Application. Your continued use of the Application following the posting of any changes constitutes your acceptance of such changes.
Termination
We reserve the right to suspend or terminate your account, refuse any current or future use of the Delegate, and take any other appropriate legal action if we suspect any unauthorized use or breach of security or User’s Applicable Policy.
Disputes
Any dispute or claim relating in any way to your use of any Delegate Service will be adjudicated in the court of Switzerland, and you consent to exclusive jurisdiction and venue in these courts. We each waive any right to a jury trial.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Switzerland. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Switzerland.
Entire Agreement
These Terms constitute the entire agreement between you and Delegate regarding the use of our services, superseding any prior agreements or understandings.

(a) Use Delegate in compliance with applicable laws and regulations and these Terms.
(b) Provide accurate, current, and complete information during the registration process (KYC) and to update such information to keep it accurate, current, and complete.
(c) Maintaining the confidentiality of your account information, including your username and password, and for all activities that occur under your account.
Do not:
(a) Violate any applicable laws, regulations, or third-party rights;
(b) Engage in any fraudulent, misleading, or deceptive
activities;
(c) Interfere with the proper functioning of our platform
or disrupt the experience of other users;
(d) Use our services to transmit any harmful or malicious
content, including viruses or malware;
(e) Attempt to gain unauthorized access to our systems or
networks.
(f) Use the Application for any unlawful, harmful, fraudulent, or malicious purposes, or to engage in any activity that could damage, disable, overburden, or impair the Application or interfere with any other party's use and enjoyment of the Application.
Interactions with Other Users
You are solely responsible for your interactions and agreements with other users. Delegate is not responsible for any disputes, losses, or damages arising from your interactions or agreements. We encourage you to exercise caution and use common sense when engaging with other users on our platform.
You are solely responsible for the content you create, upload, transmit, or display through the Application. You represent and warrant that you have all necessary rights, licenses, and permissions to use and share such content.
